About the Role
We’re looking for a dedicated Corporate Secretary to provide expert support to Board Committees, Management Committees, and Subsidiary Companies. This position requires someone who is deeply involved in the day-to-day operational aspects, including taking minutes, booking meetings, and ensuring that governance standards are maintained across the organization.
Key Responsibilities
As a Corporate Secretary, you’ll be responsible for:
- Committee Support:
- Recording and maintaining accurate minutes of committee meetings.
- Formulating agendas in collaboration with the Group Company Secretary and Chairperson.
- Statutory and Governance Compliance:
- Administering and maintaining statutory books and records for the organization and subsidiaries.
- Ensuring compliance with corporate governance frameworks and relevant legislation (e.g., Companies Act).
- Providing guidance to committee members on their duties and responsibilities.
- Stakeholder Engagement:
- Liaising with directors to ensure awareness of applicable laws and regulations.
- Engaging with internal and external clients, ensuring service excellence.
- Research and Reporting:
- Conducting effective research and preparing comprehensive management reports.
- Quality Assurance:
- Ensuring all deliverables meet the organization’s quality standards.
What We’re Looking For
Qualifications:
- A degree in CIS, BCom (Law), BA (Law), or LLB.
- A postgraduate degree (LLM, MBA, or MBL) is an added advantage.
Experience:
- Minimum 5–8 years of Corporate Secretary experience (Non-negotiable).
- Previous exposure to DFIs or state-owned entities is essential.
Professional Registration:
- Membership with CGISA or a similar professional body focusing on governance and corporate secretarial practice.
Knowledge & Skills:
- Strong understanding of the Companies Act, corporate governance principles, and statutory frameworks.
- Proficiency in SAP and MS Office (Excel, Word, PowerPoint, Outlook, MS Teams).
- Interpersonal & Communication Skills: Build strong relationships, maintain confidentiality, and liaise effectively.
- Organizational Excellence: Thrive under pressure, multitask, and manage time effectively.
- Presentation, project management, and customer relationship skills are highly valued.
