Overview:
Our client, a leading global Asset Manager is seeking to hire a Company Secretarial Assistant. Our client’s company secretarial team is a global team with responsibility for maintaining the integrity of their corporate governance framework. They thrive on exceptional organizational prowess and attention to detail, strengths that are paramount in navigating a complex mix of legal and regulatory requirements. They are looking for an individual with exceptional organizational skills, a keen eye for detail and a robust understanding of legal and regulatory environments. This role requires a proactive approach to handling a broad range of responsibilities from organizing board and committee meetings, minute-taking and statutory filings, as well as being involved in a number of governance projects.
Responsibilities:
- Assist in arranging board and committee meetings including the building of board packs and following up on board action points
- Coordinate and ensure the delivery of meeting materials; manage contribution deadlines and ensure the timely delivery, compilation/collation of materials using board portal software (Diligent) and distribution
- Alongside other members of the team, be a contact point for the CoSec team and CoSec stakeholders including global NEDs
- Coordinate and prepare responses to all ‘Know Your Client’ and due diligence requests
- Minute taking
- Assist in responding to company secretarial requests related to our European branches, as well as from other business units
- Support the signatory authorization process and maintenance of signatory lists
- Assist and oversee the maintenance of statutory records for relevant entities on Diligent Entities and ensure that the system is kept up to date and accurate
- Support the annual review of terms of reference and the annual director declaration process
- Provide admin support in relation to projects undertaken within the team, including tech enablement and the maintenance of platforms
- Undertake relevant regulatory filings, including with CIPC
- Manage Diligent accounts and control user access
- Undertake project work as required
- Assist and support colleagues in the Company Secretariat team as required
Requirements:
- Minimum of two years previous company secretarial experience
- Degree education preferred
- ICSA qualified/part qualified preferred
- Experience in using company secretarial software (specifically Diligent Entities (previously Blueprint) and Diligent Boards
- Microsoft office suite
