Job Summary
Hire Resolve's client, a renewable energy company, is on the lookout for an experienced Legal Counsel to enhance their legal team. In this role, you'll be responsible for providing comprehensive legal support, facilitating corporate compliance, and ensuring adherence to industry regulations.
Responsibilities:
- Contract Drafting & Negotiation:
- Draft, negotiate, and finalize Letters of Intent (LoIs), acquisition agreements, shareholder agreements, and joint venture agreements.
- Support investment and divestment processes by conducting due diligence and managing conditions for project financial close.
- Develop and negotiate power purchase agreements, land leases, grid connection, and transmission agreements.
- Project Financing & Compliance:
- Draft and negotiate mandate letters, finance term sheets, and project financing agreements, including security packages.
- Conduct periodic risk assessments, identifying and mitigating potential compliance vulnerabilities and project risks.
- Collaborate with internal departments (business development, project management, supply chain) to anticipate and mitigate risks.
- EPC & O&M Legal Support:
- Draft and negotiate EPC/subcontracts, O&M agreements, and equipment supply contracts specific to renewable projects (solar, hydro, wind).
- Review financing and loan documentation related to EPC & O&M agreements, ensuring alignment with project terms.
- Manage relationships with external legal counsels as required, ensuring efficient use of resources and adherence to budget.
- Compliance & Risk Management:
- Ensure adherence to the company's compliance standards, including forced labour concerns and supplier due diligence.
- Manage claims and disputes arising from equipment supply or project delays, acting as the company's representative in arbitrations.
Requirements:
- Bachelor's degree in Law (LLB) and admission to practice as an attorney
- Minimum 3-5 years’ experience in a law firm or as in-house counsel, with a strong foundation in corporate law.
- Renewable energy or project finance experience is an asset.
- In-depth understanding of local and international legal frameworks
- Skilled in managing project risks and integrating compliance practices across departments.
- Exceptional negotiation and communication abilities
- Capability to work under pressure and manage tight deadlines
- Strong analytical and research skills
