Position Overview:
We are seeking a Corporate Legal Specialist to ensure our company’s legal compliance with all applicable laws and regulations providing support to various legal functions. The role is responsible managing corporate records, assisting with contract management and supporting various legal matters within the organisation.
Key Responsibilities:
- Maintain and ensure compliance with corporate governance requirements.
- Assist in preparing and filing annual reports, meeting minutes, and other regulatory filings.
- Manage and organize corporate documents, including contracts, agreements, and corporate records.
- Draft, review, and edit legal documents as needed.
- Review and negotiate contracts, including vendor agreements, leases, and employment contracts.
- Maintain a contract database and track contract renewal dates.
- Assist in due diligence processes for mergers, acquisitions, and other corporate transactions.
- Conduct research and gather information about potential business partners or targets.
- Monitor and maintain compliance with federal, state, and local laws and regulations.
- Assist in regulatory reporting and compliance initiatives.
- Manage intellectual property matters, including trademark and patent applications.
- Maintain the company's intellectual property portfolio.
- Gather relevant documents and information in the event of legal disputes or litigation.
- Coordinate with external counsel and assist in managing the litigation process.
- Conduct legal research to support decision-making and stay updated on legal developments.
- Maintain and organize corporate records, including articles of incorporation and bylaws.
- Assist with various corporate transactions, such as stock offerings and joint ventures.
- Provide training and education to employees on legal policies, compliance, and best practices.
- Handle administrative tasks related to legal matters, including scheduling, calendar management, and file organisation.
Qualification and Experience Required:
- Min Law Degree or related field.
- 3 years of experience in a Corporate Legal Support role.
Skills and Attributes Required:
- Strong knowledge of corporate law and legal processes.
- Excellent organizational skills and attention to detail.
- Proficiency in legal research and document management.
- Ability to work collaboratively with legal teams.
- Strong communication skills, both written and verbal.
- Knowledge of relevant legal software and tools.
